Mina Platform Terms and Conditions Agreement

These terms and conditions shall be read carefully before using the website or mobile application or conducting any transaction. These terms and conditions are legally binding through electronic approval or use of the website or mobile application.

Mina was established in order to mediate between providers of dental treatment services and laboratories specialized in prosthetics and other services for all laboratory services. By using the Mina platform, you agree to this agreement without restrictions or conditions, and Mina platform shall have the right at any time to modify this agreement and the modified version will be published on the platform. The amended version of the (Terms and Conditions Agreement) will be effective one week after its publication on the platform. After publication, your continued use of the platform shall be considered commitment by you to the terms and conditions contained in the amended version, and satisfaction with applying the amendments.

I: Definitions:

Whenever they appear in this Agreement - the Terms and Conditions Agreement, the following terms shall have the following meaning (unless the context requires otherwise):

  1. Mina is a digital platform concerned with providing mediation services between providers of dental treatment services and laboratories specialized in prosthetics and other services for all laboratory services in the Kingdom of Saudi Arabia. It is the owner of the website and the mobile application, with head office is in the city of Riyadh, Kingdom of Saudi Arabia, registered in the name of / Sarh Al-Mina Corporation for Information Technology, with Commercial Registration No. (1010723796).
  2. “Service Provider”: is the natural or legal person who offers his products and services to the beneficiaries through the platform in his field according to his data registered on the platform.
  3. “Beneficiary” means any natural or legal person who wishes to conclude a contract with the platform or use the website or mobile application or browse.
  4. “Platform” means “Mina Application” unless the context has another meaning. A reference to it hereafter, shall mean the mobile application or the website or both.
  5. “Account” means the page or record of the beneficiary, on the platform in order to enable the benefit of the Mina platform services.
  6. “Service” means the service or services available through the Platform.

II: Terms and conditions to benefit from Mina platform services:

  1. The beneficiary must be at least (18) years old and have the legal authority to agree to these terms and conditions.
  2. Availability of legal capacity if the beneficiary is a natural guardian.
  3. Comply with these terms and conditions, in addition to the applicable regulations in the Kingdom of Saudi Arabia.
  4. To provide correct data and information when registering or requesting a service through the website or mobile application. It is prohibited to submit false or misleading data, whether or not it results in harm to others.
  5. To maintain all intellectual property rights of Mina.
  6. It is prohibited for the user to access or attempt unauthorized access to the Mina platform, or to grant others the authority to use his account, or to impersonate any person or distort membership with another person, and the user shall bear the consequences of violating the provisions of this paragraph.
  7. The user is prohibited from uploading, or attaching, any files, programs, or any other materials protected by intellectual property rights laws or any private or public rights that he does not have the rights to use.
  8. If Mina, at its sole discretion, finds that the user has breached or violated any of these conditions, it shall have the right to delete any requests or content posted without warning the user, and to take measures - including stopping, suspending, or restricting the user's access to the platform and preventing the user from using the platform, report the user to the Internet service providers or the competent authorities, or take any legal actions.
  9. The User is prohibited from doing any action that causes unbearable or unsuitable pressure on the Platform or its infrastructure, for example:
    1. User registration from more than one e-mail and login to the platform through it.
    2. Collusion with more than one person to enter the platform at the same time to put pressure on it.
    3. Attempt to hack the platform or influence the services provided.

III: Scope and nature of the services provided by Mina:

Mediation between providers of dental treatment services and laboratories specialized in prosthetics and other services for all laboratory services. The role of the platform shall be limited to mediation only, and the platform shall not be responsible for the quality of the products.

IV: Registration and reservation:

When the beneficiary registers on the website or the mobile application (since in order to benefit from some services, it is necessary to create an account and register, and it is prohibited to use another person’s account), the beneficiary declares on his own behalf and on behalf of those whom he represents (if any) to agree to the following (application for registration means your consent and acknowledgment of the following):

  1. All terms and conditions for booking or requesting the service.
  2. All fees imposed, including taxes and fees of all kinds.
  3. Acceptance of financial responsibility for paying the value of the service.
  4. Comply with the binding terms and conditions or any of their subsequent amendments.
  5. Use your information in accordance with the Privacy Policy.
  6. Verify all your data, and you acknowledge that you own the entered email and mobile number.
  7. Mina's cancellation and amendment policy.
  8. Once the reservation or service request is confirmed, the commitment is concluded between the beneficiary and Mina.
  9. Mina reserves the right to refuse any reservation, service request or confirmation of any of them at its sole discretion without any liability to it.
  10. Mina reserves the right to correct any error in the advertised prices or in the services, and Mina will correct it as soon as it becomes aware of this, provided that this is done before starting implementation of the service, and the beneficiary shall have the choice between continuing the implementation after the correction or termination of the contract and a refund of his payment.
  11. Prices vary based on the payment currency chosen for payment (if the payment was made from outside the Kingdom of Saudi Arabia).
  12. Mina will not be liable for any delay or failure to fulfill your order or service if incorrect information is provided.
  13. You need to verify all the data entered before confirming the reservation.
  14. The reservation is considered active from the date the beneficiary receives the confirmation email.

V: Amendment and Cancellation:

  1. Whenever it is possible to make any amendment to the service request based on your request, you will be solely responsible for any additional expenses in this regard.
  2. Mina shall have the right to make any amendment to the reservation or service request based on its unilateral will whenever the need arises, with an emphasis on notifying you of such amendment.
  3. Mina shall have the right to amend the service fees at any time without prior notice, bearing in mind that the amendment does not apply to existing applications (in progress). Once the beneficiary completes the application, the fees specified in the application will not change upon the change of fees on the website or mobile application.
  4. Some amendment requests cannot always be fulfilled.
  5. Mina shall have the right to cancel your order in the event that you violate one of the essential conditions of these terms and conditions, provided that you are notified through the registered email of such cancellation, without any liability on Mina.
  6. In the event of cancellation by Mina without a legitimate reason, or due to a compelling circumstance beyond the control of Mina or the beneficiary, Mina shall refund the fees paid within 7 to 14 working days from the date of cancellation.
  7. In the event that the service request is canceled by the beneficiary (in cases where cancellation is allowed), an amount of 15 riyals will be deducted from the total dues of the beneficiary with Mina as cancellation fees.
  8. Mina undertakes (in cases where cancellation and refund are allowed) to refund the remaining amounts previously received within a period of seven to fourteen working days from the date of notification of the desire to cancel the application or service.
  9. All requests for amendment or cancellation are made by requesting through the email registered by the beneficiary upon registering at Mina to the following email: minaapp111@gmail.com.

VI: Payment Services:

  1. The beneficiary shall pay the value of the service through the payment methods available on the platform before starting the work in question, and the service will not be provided or work will be started until the full value of the service is paid.
  2. It is prohibited for the user to fraudulently use an incorrect, invalid or not owned payment method, and the user shall bear the responsibility as a result of violating this paragraph, and he will be reported and penalized and penalties applied to him.
  3. All payments shall be made in Saudi riyals, and if the user pays using another currency, he shall bear the expenses and fees resulting from the currency conversion or any other bank fees.
  4. 15% value added tax shall be calculated on the commissions collected (the table shall be referred to).

VII: Prohibited Behavior:

You hereby agree to refrain from doing any of the following:

  1. Undertake not to exploit or disseminate the information or data displayed through Mina to any other mobile application or website outside Mina in any way whatsoever.
  2. Violate or tamper with Mina's networks or software.
  3. Involve in or encourage any illegal act or related communications.
  4. Transmit files, data, or other materials that contain computer viruses, corrupted data, worms, "Trojan horses", or any commands or designs that may delete data or programming or lead to the disruption of the (website) or lead to impeding the full use of any equipment or system for which it was designed.

VIII: Limitations of Liability:

  1. Mina shall not be responsible for any direct or indirect loss arising from the use of the website or mobile application.
  2. The beneficiary acknowledges his use of the website or mobile application at his own risk and Mina shall not bear any responsibility for any damage or injury as a result of any user entering the website or mobile application or inability to access or use.
  3. You are solely responsible for the registration and reservation at Mina and the suitability of the services provided by it to your needs, and Mina cannot be held accountable in this regard.
  4. You are solely responsible for any activity that takes place through your account without any liability to Mina.
  5. Mina will not be liable for losses resulting from any unauthorized use of your account, you may be liable for losses caused to Mina or others as a result of such unauthorized use.
  6. Mina shall have the right, without any liability, to cancel any account or registration based on its absolute discretion without notice.
  7. You shall also be responsible for the information provided at the time of account creation and/or booking of the service, and Mina cannot be held responsible for this.
  8. The beneficiary shall be solely responsible if he violates any of these terms and conditions, or any of the directives of the Mina platform. When the beneficiary pays the costs of the service, he is obligated to pay through the means and accounts shown in the platform for Mina. The user is prohibited from paying the costs of services from any unknown or not owned accounts to the beneficiary. He shall bear legal consequences for such actions, noting that in cases where amounts previously paid shall be refunded, the refund will be made to the same account from which the payment was made.

IX: Amending the Terms and Conditions:

  1. Mina reserves the right to amend these terms and conditions from time to time at its sole discretion in order to improve the work and service within Mina without any liability to Mina.
  2. In the event that you object to any of the provisions of these Terms and Conditions or those amended by Mina and notified to you, in this case, you have no choice but to stop using the website or mobile application and terminate your membership account.
  3. You will be notified of the amendments, changes or improvements made through Mina via the registered email, and they will become effective against you within (5) days from the date of notice to you. The elapse of this period without canceling the account and your use of the website or mobile application shall be considered consent from you to the amendments or updates.

X: Intellectual Property Rights:

  1. The website and mobile application contain trademarks, trade secrets, technologies, products, business processes, and other rights owned by Mina or third parties.
  2. Mina does not grant you any license or right of intellectual property or other rights, and you may not reproduce, distribute, publish, display, upload or transmit any (material) except as expressly permitted and within the limits of these Terms and Conditions.

XI: Complaints Policy:

Mina always seeks to improve and develop the services provided through it, and to facilitate the use for beneficiaries, this policy has been included in order to provide services to the fullest extent in addition to providing an effective communication channel with the beneficiaries through the following:

  1. Submit a complaint within two days from the date of the request, otherwise the right to file a complaint will be forfeited.
  2. The complaint will be investigated with full transparency and integrity.
  3. The complaint will be decided upon within 7 to 14 working days from the date of its submission, as a maximum, and if the complaint requires further consideration, you will be notified of the same.
  4. In the event that the complaint is against an employee, the complaint will not be referred to the employee complained against for investigation or adjudication, but rather it will be presented to his direct manager with the ability to hear his opinion (for guidance) at the discretion of his direct manager.
  5. You can follow up on the complaint through the announced means of communication.
  6. A complaint (link or e-mail) has been included for the convenience of the beneficiaries.

XII: Liquidated Damages:

You agree to indemnify Mina and any of its affiliates, partners, employees, directors, agents, licensors, service providers, contractors or suppliers from any claims, including attorneys' fees and court costs, or any claims by third parties based on your breach of these Terms and Conditions or documents incorporated as references, or due to any violation of laws or rights of third parties.

XIII: Notices

Mina shall have the right to send all notices, amendments or other communications required or permitted by these terms and conditions by e-mail, postal mail, text messages, or by posting them on the website or mobile application, you will be deemed to have been notified as soon as you receive the Email or regular mail message, or by simply publishing on the website or mobile application.

XIV: Jurisdiction:

Any dispute arising from the application of this agreement, in relation to the services subject to the website or the mobile application, shall be resolved amicably between both parties as possible within (7) days from the date of the dispute. If this is not possible, the person concerned shall submit to the competent authority, and the laws and regulations of the Kingdom of Saudi Arabia shall apply to the provisions of this agreement, and the competent authority in the city of Riyadh shall be competent to consider any dispute that may arise from the application of this agreement.

XV: Consent and Undertaking:

  1. These terms and conditions and the amendments thereto, if any, shall constitute the entire agreement with you and supersede all previous oral or written agreements.
  2. Mina’s failure to exercise any of its rights or to claim any compensation under these Terms and Conditions or its delay in exercising it or its failure to enforce these Terms and Conditions or its delay in imposing it shall not constitute a waiver by Mina of any of the foregoing.
  3. If any provision or part of this Agreement is found to be invalid, unenforceable, or void, the remaining provisions of these Terms and Conditions will remain in full force and effect.
  4. Your use of the website or the mobile application is your express consent to accept all these terms and conditions - which include all the aforementioned details - and to work according to them and to abide by their contents after perusal and understanding all of their contents.
  5. These terms and conditions include agreeing to the (Privacy and Cookie Policy), so we hope that you will read them for more information through the links below.
  6. You also undertake to comply with any current or future instructions, guidelines, amendments or additions issued by Mina at the latter's absolute discretion without any liability on it.

(Apple Pay) Terms and Conditions:

  1. Introduction:

    The “Apple Pay” service is one of the electronic payment services using the digital portfolio system, and it is approved in the Kingdom of Saudi Arabia. By using the Apple Pay service, you will be subject to the terms and conditions contained in the Apple Pay Terms of Service hereinafter referred to as (“Terms”). In order to use Apple Pay you must agree to the following terms and conditions, so please read them carefully.

  2. General description of Apple Pay:

    Apple Pay service is an application for smartphones running the iOS operating system that allows you to make purchases using a default account number issued by any Saudi bank licensed to operate in Saudi Arabia representing the credit card, Mada card, low-limit card, or prepaid card registered with Apple Pay with ("Default Account Number"). Default account numbers differ depending on whether the application is used inside or outside the Kingdom. The application has been developed using the host card simulation technology, where a digital version of your bank cards is issued on smart phones to enable you to make purchases using Near-field Technology (NFC).

  3. Using Apple Pay:
    1. Basic Usage Requirements: In order to use Apple Pay at Point of Sale devices that have a remote sensing (Wi-Fi) payment feature, you must use a credit card, Mada card, low-limit card, or prepaid card issued by the Bank. Your device specifications must comply with the requirements of the service, which may change from time to time, and an Internet connection and operating system compatible with the service is also required. All of these factors may affect your ability to use the Service and the overall quality of performance of the Service. Users, as consumers, must ensure that all requirements necessary to start using the Application are met. Refer to the card-issuing banks for more details on the basic hardware requirements for the purpose of using the application as intended.
    2. Getting Started: The settings for the Apple Pay service can be adjusted using the Apple Pay service application on your device. After you enter the required information and add the Apple Pay payment instrument, the Apple Pay system will check that the bank currently supports Apple Pay, and that the card itself is compatible with Apple Pay. Some of the Bank's cards may not be compatible with the service and therefore cannot be used. If your payment instrument is accepted, upon adding it you will need to confirm your identity using the password sent to your mobile number registered with the bank. When you have successfully added a payment instrument, the Apple Pay app will record a default account number that is the actual number of your plastic card and this default account number will be used for all in-store payments using the Apple Pay app. If your card supports multiple payment networks, one default account number will be assigned to each network. The outward appearance of the default account number may differ in each printed receipt issued to the owner of the device in accordance with the agreements and technical specifications of the aforementioned service. Apple Pay and its various features may only be available in certain regions, for certain payment instruments or certain issuing banks, or with certain merchants, which may change at any time depending on the nature of the payment devices that are compatible with the operating system of those devices.
    3. Use of the Apple Pay Service: It is your use of the Apple Pay Service with specific Payment Instruments governed by these Terms and Conditions and in compliance with the applicable bank terms and privacy policies for your Payment Instrument. Nothing in these Terms shall constitute a basis to change such terms and privacy policies of the bank. You hereby acknowledge that you have allowed Apple Pay to obtain information from the issuing bank of your Payment Instrument so that it can view the full details of your purchases as well as the history of your recent purchases in the Apple Pay app. You hereby agree to refrain from using the Apple Pay Service for unlawful or fraudulent purposes, or in violation of applicable laws and regulations. You also acknowledge and agree not to interfere with, disable, or abuse (directly or indirectly) the operation of Apple Pay, including all of Apple Pay's servers, networks, or associated infrastructures. You are fully responsible for your activities through the device on which you have downloaded the Apple Pay application. The scope of accountability extends to cover every case of misuse resulting in harm to the Apple Pay service or to the Mada network, its employees, and related payment systems. You acknowledge that the Apple Pay application is for your personal use using your own debit, prepaid, and low-limit cards (your own, or your accounts with third parties as they become available for use in your portfolio). You acknowledge that when you use a credit card, Mada card, the low limit card, or prepaid card for Apple Pay, your card identification code (PIN) number will be replaced by Cardholder Consumer Verification (CDCVM) for the purpose of verifying your identity to complete the payment process. This verification method will be replaced by other methods accepted by the operating system (IOS). For example, but not limited to: facial recognition technology, fingerprint recognition, pattern recognition, etc. It is your absolute responsibility as the owner of the device to protect these identification details from unauthorized individuals to prevent any fraudulent operations in your bank account. The bank shall not be responsible for unauthorized third-party transactions through Apple Pay and not through the actual account/device holder. Payment instrument such as credit, Mada card, low-limit card, or prepaid card can be removed from the Apple Pay application defined on a particular device and/or made unusable in the application if: (i) you delete it from the Apple Pay application; and/or (ii) you erase the entire contents and settings of your device using the IOS Device Manager app; and/or (iii) you delete the Apple Pay app; and/or (iv) the bank or payment network instructed you to remove the Payment Instrument from the Apple Pay app; and/or (v) your ID has expired; and/or (VI) the occurrence of other reasons that hinder the operation of these cards. You hereby acknowledge your use of Apple Pay within the limits of transactions permitted in Apple Pay and/or Mada Atheer payments for your purchases, and the Bank shall have full right to modify the limits of purchases without prior notice.
  4. Privacy:

    The Apple Pay Privacy Policy describes the controls to be observed in handling personal information when using the Apple Pay Service, and is provided to eligible cardholders and their use of it is governed by the Bank's Privacy Policy. Your use of the Apple Pay Service is subject to the provisions in the Apple Pay Terms of Service, which describes in detail the services covered in this privacy policy. Terms in bold letter that are not defined in the Apple Pay Privacy Policy will have the meanings ascribed to them in the Apple Pay Terms and Conditions of Service.

Information Security:

The security of your Apple Pay portfolio depends on how confidential you are about your passwords, PINs, and other login information. If you share your personal information, including your device, with third parties, it may give them access to your bank accounts and your personal information, which may result in unauthorized payments being made. It is your responsibility to keep your devices and the Apple Pay app on them safe from being used by others, including keeping your passwords and PINs confidential and not sharing them with anyone. You are also responsible for alerting your card issuer bank if you believe there are risks to the security of the information in the Apple Pay app or your bank card information. It is your responsibility to maintain the confidentiality of your bank card information in order to avoid any transactions that you did not authorize as a legitimate cardholder. When you make a transaction, you represent that you are the authorized user to use the device with the number on the bank card within the Apple Pay application.
